1. Acceptance
By creating an exchange on the Exonome platform ("Platform"), you ("Operator") agree to be bound by these Platform Terms of Service ("Terms"). If you do not agree, do not proceed with registration.
2. Platform Overview
Exonome provides infrastructure that enables operators to create and manage discovery exchange marketplaces ("Exchanges"). Exonome is not a party to any transaction between an operator and that operator's customers and accepts no responsibility for those transactions.
3. Operator Responsibilities
You are solely responsible for: (a) all content, listings, and services offered within your Exchange; (b) compliance with all applicable federal, state, and local laws and regulations; (c) the accuracy and completeness of all information you provide; and (d) the Terms of Service and Privacy Policy you present to your own customers.
4. Prohibited Content and Uses
You may not use the Platform to offer, facilitate, promote, or list:
- Illegal goods or services of any kind
- Adult, explicit, or sexually suggestive content
- Weapons, ammunition, controlled substances, or hazardous materials
- Counterfeit, fraudulent, or misleading products or services
- Content that promotes hate, harassment, discrimination, or violence
- Content that infringes any third-party intellectual property right
- Pyramid schemes, multi-level marketing without disclosure, or deceptive financial products
5. Brand and Identity
You may not represent your Exchange as being operated by, affiliated with, sponsored by, or endorsed by Exonome. The Exonome name, logo, and all associated trademarks and trade dress are the exclusive property of their owner and may not be used in your Exchange branding, marketing materials, or domain names without prior written consent.
6. Suspension and Termination
Exonome reserves the right to suspend, restrict, or permanently terminate any Exchange or operator account at any time, with or without notice, for violation of these Terms or at Exonome's sole discretion to protect the integrity of the Platform, its users, or its reputation. Termination does not entitle you to any refund of fees paid.
7. Intellectual Property
Exonome retains all right, title, and interest in the Platform infrastructure, software, design, and related intellectual property. You retain ownership of original content you create within your Exchange. By using the Platform, you grant Exonome a non-exclusive, royalty-free license to display, reproduce, and distribute your Exchange content solely as necessary to operate and promote the Platform.
8. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Exonome does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.
9. Limitation of Liability
To the maximum extent permitted by law, Exonome shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost revenue, lost data, loss of goodwill, or business interruption, arising from your use of or inability to use the Platform, even if Exonome has been advised of the possibility of such damages.
10. Indemnification
You agree to indemnify, defend, and hold harmless Exonome and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Platform, your Exchange content, or your violation of these Terms.
11. Modifications to Terms
Exonome reserves the right to modify these Terms at any time. Updated Terms will be posted to the Platform with a revised effective date. Continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.
12. Governing Law
These Terms are governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration or in a court of competent jurisdiction.
